The Order Form: pay and term

You fill in your company name, address and email, plus a main contact and a billing contact (Section 1.2). If no start date is written in, the Order Form starts on the date of the last signature (Section 1.1).

The Order Form runs for 6 weeks. Then it renews one month at a time unless one side gives written notice first that it will not renew (Section 1.1).

The fee is $10 to $15 per Recorded Hour that Colby has accepted in writing (Section 2). Colby confirms the exact rate in writing after your first accepted hour. Part of an hour is paid as part of an hour. Time with a dead battery, a broken file, missing hands or staged work does not count.

Section 2 also says Colby pays the fees within 30 days of the invoice date. To change the Order Form, you send a change order by email (Section 3).

Who owns the video

Colby owns the video the equipment records (MSA Section 1.3). Colby may sell or share selected video with others for robot and world model work, and pays you for it under the Order Form.

Section 1.3 also says you agree not to sue Colby or its clients over their use of the video. The one exception is a claim that Colby broke the agreement and did not fix it. Section 4.1 says Colby also owns the labels, models and software built from the video.

Your duties

• Get the OK from each building's owner or manager to record there (Section 6.3).
• Give notice to and get consent from your cleaners and anyone else in the video (Section 6.3).
• Keep sensitive information out of the video (Section 6.3).
• Run background checks and handle all employer duties. Your cleaners are never Colby employees (Sections 1.2 and 6.3).
• Care for the equipment. You pay for loss or damage at a job site, except normal wear from proper use (Section 1.2).

Private information

Each side keeps the other side's private business facts to itself (Section 3). The terms of the agreement are private too. When the deal ends, each side gives back or destroys what it holds of the other's (Section 3.4).

How it ends

The MSA lasts until all Order Forms end (Section 5.1). If one side breaks the agreement, the other can end it after 30 days' written notice, unless the problem is fixed in those 30 days (Section 5.2).

Within 10 business days of the end, you pack and ship the equipment back by a tracked carrier. Colby sends a prepaid label (Section 5.3). Delaware law applies, and both sides must try mediation before a lawsuit (Section 9.11).
